Biography
Richard focuses on providing general corporate and tax law solutions for businesses and their owners. Richard has diverse experience representing businesses in mergers and acquisitions, sales to key employees, credit facilities, venture capital and private equity financings, shareholder agreements, and in other general corporate matters. For early-stage companies, Richard also helps Founders address formation, financing, employment, incentive compensation plan, and general operational issues, so that the Founders can keep their attention on the business. For nonprofit entities, Richard has experience advising on formation issues, obtaining tax-exempt status, maintaining compliance with IRS and state requirements, establishing grant making procedures, and winding down defunct organizations.

Richard complements his corporate practice by providing tax and estate planning solutions for individuals. Whether or not you are a business owner concerned about succession planning, a thoughtful estate plan is necessary for all individuals and families who want to reduce their estate tax exposure and protect their legacy by implementing a controlled inheritance structure. A typical estate plan may incorporate a variety of instruments and Richard has experience drafting revocable and irrevocable trusts, intentionally defective grantor trusts, irrevocable life insurance trusts, qualified personal residence trusts and grantor retained annuity trusts.

  • Lead associate representing a multi-national telecommunications company in the issuance of up to twenty-five percent of new shares of the company in five percent blocks to various investors, along with amending and restating organizational documents.
  • Lead associate representing a national waste management company in the acquisition of the assets of a Canadian competitor company.
  • Lead associate representing a national waste management company in the due diligence and potential acquisition of the assets of a Mexican competitor company; Deal stalled due to due diligence issues uncovered.
  • Lead associate and originating attorney in the acquisition of a twenty-five percent equity stake by key employee from Massachusetts employer catering company.
  • Lead associate representing a national waste management company in $65 million revolving credit facility coordinated with three lenders.
  • Lead associate representing a national sporting goods company in the acquisition of all of the retail goods of a global sporting goods manufacturer’s US-based retail stores.
  • Lead associate representing a NY-based real estate developer in obtaining a $35 million two-tiered financing arrangement for the development of a senior care facility.
  • Lead associate representing a medical device manufacturer in licensing its technology from founders to strategic acquirer.
  • Lead associate representing a national software provider in obtaining a $20 million revolving line of credit.
  • Lead associate representing a regional bank in extending a revolving line of credit to a regional developer and operator of subsidized housing developments.
