Michael works extensively with clients in their corporate, distribution, real estate, finance and intellectual property matters. Some of those areas are:

Corporate / Finance. Michael's expertise covers life cycles of entities from formation, financing, growth, mergers and acquisitions, restructurings and wind down. Michael counsels clients on joint venture, franchise, distribution/agency and other distribution systems. His work is driven by an appreciation of the operational and branding aspects of the client and industry, and the financial impact of every transaction.

Real Estate / Distribution. Michael works extensively on structuring and executing real estate and distribution strategies including acquisition and development, financing, leasing, exchanges and dispositions. In the franchising arena, Michael represents franchisors, franchisees and franchise groups (such as co-ops) on a full range of issues.

Intellectual Property. Michael helps clients manage their intellectual property, including trademarks, copyrights, patents and trade secrets. Many of these transactions involve sales, licenses and other methods of monetization. Michael has counseled extensively on matters involving covenants not to compete, and how they are impacted by a client's intellectual properties and distribution systems.
