Biography

Michael is a member of the firm's Corporate and Real Estate groups, working extensively with clients on important, sometimes vital, matters relating to their businesses. His expertise includes corporate and business transactions, finance, distribution and deployment of intellectual property. While these matters often include significant transactions, clients also rely on Michael for tackling their operational and or compliance matters, particularly where the goal is to implement improved planning and execution.

Michael’s corporate practice includes mergers and acquisitions (sell and buy side, in both investor and strategic acquisition contexts), debt and equity transactions from formation to wind-down (on company, lender and investor sides), governance, buy-sell arrangements (sometimes through multiple tiers), joint ventures and key employee matters. As part of his corporate expertise, Michael has extensive experience with logistics and supply chain matters, hedging transactions, and non-compete concerns for manufacturers, distributors, and dealers. This part of Michael’s practice often involves licensing (including for franchisors and franchisees), where clients manage and monetize their intellectual property. All of Michael's work is driven by a keen appreciation of the financial and operational impacts each transaction brings to his clients' businesses.

With respect to real estate, Michael works extensively with acquisition, financing, leasing, and sales of commercial, office, industrial and mixed use properties.

  • Restructure a highly regulated service firm to compartmentalize the growth assets, followed later by a sale to a private equity buyer, and then a later sale of the business to a strategic buyer.
  • Corporate counsel to target in sale of precision defense technology manufacturing firm to strategic acquirer.
  • Represented the target global e-commerce parcel fulfillment company in its acquisition by a global logistics company and later divestiture of non-core subsidiaries with warrant restructuring for early strategic investor.
  • Represented founders in sale of controlling interest in specialized contracting firm which utilized multiple unions.
  • Represented US subsidiary of foreign conglomerate in structuring and negotiating long term exclusive development and supply agreement with global customer for mission-critical safety equipment for large turbines, with exclusive field of use for customer and open market for client outside customer’s field of use.
  • Represent acquirer in an acquisition of an outdoor advertising media company. Also counseled this client in connection with the later sale and spin of a product distribution business that was excluded from the acquisition of the parent media company.
  • Assisted a software developer/services company in retaining the servicing of a large medical practice group in connection with the hospital implementation of a highly controlled database.
  • Represented the purchaser of a mobile app developer in a transaction that preserved the installed user base on Apple and Android platforms.
  • Representation of a developer with obtaining $22,000,000 of debt financing and hedge for a historical tax-credit assisted re-development of an apartment complex, including the modifications made to the related party credit lines.
  • Structured and managed a long-term ground lease and option (through multiple rounds of financing) to permit redevelopment of a highly visible, mixed-use property, including representation through the structural risks presented by credit challenges of owner/landlord.
  • Representation of a plastics manufacturer in a long-term, exclusive supply arrangement with associated university research project and with the intellectual property management involving a proprietary supply chain technology. Also included managing appropriate response in the face of customer break-out, and proper handling for off-shoring of retired tooling.
  • Advised client regarding compliance and structure of both brand management and lead generation arrangements for differing goods and services in multiple channels.
